That company then acquires a proportional shareholding in the hotel management company, which is backed by real estate assets in the form of freehold hotel unit titles (Unit Titles Act 2010).

This means there is no commingling of investor funds. Each investor's company holds its own distinct position, with the underlying value supported by tangible, asset-backed real estate.

Importantly, an established funds management entity oversees the structure on behalf of investor companies, and investment funds are held in trust with a solicitor's stakeholder trust account until settlement — meaning investors are not exposed to development risk during the construction period.

For those who have received Approval in Principle under the AIP Growth Category, time is often the central pressure point. Investors are typically required to transfer and invest their nominated funds within six months of approval, and not every investment option will suit every investor's risk appetite or timeline.

Wolfe Heritage Hotel adds meaningful optionality. It can be used to meet all or part of the NZ$5 million Growth Category threshold, and — as with other Growth Category investments — can also be blended with other qualifying investment types where an investor's allocation does not meet the full threshold on its own.

Because the hotel itself is asset-backed rather than dependent on a pooled investment structure, it offers a tangible point of difference for investors who want their capital connected to a physical, identifiable asset in one of Auckland's most prominent locations.
